Alienoid Service Agreement

Welcome to KEYSMPO LIMITED’s products and services!

The "Alienoid Service Agreement" (hereinafter also referred to as "this Agreement") is concluded between you (hereinafter also referred to as "User") and KEYSMPO LIMITED (hereinafter referred to as "we") and has the same legal effect on both parties. Please read the entire content of this agreement carefully, especially the terms displayed in bold (including terms stipulating our responsibilities, your rights, dispute resolution methods, jurisdiction, etc.) that (may) have a significant relationship with your rights and interests, please Pay attention to key readings. Your use of our products and services ("use" includes but is not limited to one or more of downloading, installing, launching, browsing, registering, logging in, etc., the same below) means that you have confirmed your understanding and agreement to this Agreement. If you do not accept any terms of this Agreement, you should stop using it immediately.

The relevant operating tips, Q&A guides, usage help or the rules and processes we show you in other ways that appear on the Alienoid platform constitute part of the rules related to our products and services, and are also part of this agreement.

Agreement Definition and Service Description

1.1 The products and services of KEYSMPO LIMITED Group are provided by KEYSMPO LIMITED Group. "KEYSMPO LIMITED Group" refers to the enterprise group including KEYSMPO LIMITED. and its affiliated companies. Affiliated companies refer to companies and institutions that currently and in the future control of KEYSMPO LIMITED, are controlled by KEYSMPO LIMITED, or are under common control with KEYSMPO LIMITED. Control refers to the ability to directly or indirectly influence the management/operation of the controlled object through ownership, voting shares, contracts, actual operating relationships or other legally recognized means.

1.2 This agreement applies to all products and services of KEYSMPO LIMITED Group, including but not limited to audio and video, animation, live broadcast, literature, games, advertising, Membership Services and other products and services provided by KEYSMPO LIMITED Group.

1.3 Scope of use of products and services: only within the European Union, and United States. If you use it beyond the scope, it may be restricted or affected.

1.4 Alienoid platform (hereinafter also referred to as "our platform" or "platform"), including but not limited to Alienoid, alienoid.net, any platform directly owned or operated by KEYSMPO LIMITED Group Web pages, APPs, mini programs, public accounts and other client platforms, applicable terminals include but are not limited to computers, Pads, mobile phones, TVs, VR, etc.

1.5 "Users" as mentioned in this Agreement include registered users and unregistered users who use our products and services.

Special reminder: This agreement is a uniformly applicable general user service agreement. Since we have many products and services and the content provided is also different, we have also formulated separate agreements and rules for specific products and services, which you should fully read and agree before using them. When you use products and services provided by third parties on our platform, in addition to complying with this agreement, you should also abide by the rules of the third party.

Your Alienoid Account

2.1 Our services (such as subscription membership, commenting, reviewing, collection, etc.) are only provided to registered users and can be used after logging in and paying for appropriate fees. If you have not registered or logged in to your account, your use of the services will be subject to certain restrictions.

2.2 According to laws, regulations and relevant regulations, some services or functions (such as games, video publishing, digital collections, etc.) require real-name verification in advance, and you should cooperate as required. If you have not completed the authentication or failed the authentication, you will not be able to use it.

2.3 In order to enable you to use our products and services conveniently, Alienoid has established a unified account system service. That is, after you successfully register an Alienoid Account, you can use your Alienoid Account on platforms that support Alienoid Account login. Log in directly, and the content published under your account and modifications, deletions and other operations will (may) be synchronized between our platforms. For the avoidance of doubt, you use your Alienoid Account to directly/authorize login to third-party APPs or platforms not provided by Alienoid , this third-party APP or platform is not owned or operated by Alienoid, and any disputes arising from your use of the services provided by this third-party APP or platform have nothing to do with Alienoid.

2.4 To ensure that you can use our products and services smoothly, you know and agree that you should abide by the following rules when using your Alienoid Account (including authorized login through a third-party account):

2.4.1 When registering an Alienoid Account, you should provide us with complete, true, accurate, and up-to-date necessary registration information according to the prompts on the page. After submitting the registration information, if the above information changes, you should change it in time. The registration information such as your nickname, avatar, and introduction must not contain illegal, infringing, or harmful information, otherwise we have the right to reject the review. Even if the review is passed, if we later discover or get complaints from others and we verify that there is any violation of law or infringement, we have the right to delete or reset the account information, modify it within a time limit, withdraw the certified nickname, and restrict account functions without notifying you. and other measures;
2.4.2 Except for authorized login through a third-party account, you can only register as a user through us or our authorized channels, and may not purchase, rent, borrow, share, exploit, destroy our registration system and other unauthorized means. Register in a manner approved by us (such as using another person's mobile phone number or registering by impersonating another person's identity, obtaining more than a reasonable number of Alienoid Accounts through frequent registration, batch registration, etc., malicious registration);
2.4.3 You have limited rights to use your Alienoid Account. Your Alienoid Account can only be used by you for non-commercial use and may not be transferred, rented, lent, sold, shared or used by others in any other way. Risks such as verification, account logout, account anomalies, and suspension due to your above-mentioned violations triggering Alienoid's account security management risk control policy are all borne by you, and Alienoid has the right to respond to your violations and decide whether to suspend or terminate some or all of the services provided to you.

2.5 Your Account Management and Security

2.5.1 You are responsible for all actions that occur under the Alienoid Account that you have the right to use and all actions conducted through the account. Therefore, you are responsible for properly and correctly keeping, using, and maintaining your Alienoid Account and password, and taking necessary and effective confidentiality measures for your account and password. You shall be solely responsible for any loss, leakage, tampering, theft, or other losses caused by improper custody, use, and maintenance of your account that are not caused by our legal fault;
2.5.2 If you find that someone has used your account without authorization, or there are other abnormalities in your account that prevent you from logging in and using it normally, please follow our account retrieval process to retrieve your account. During the retrieval process, you need to provide corresponding information and supporting documents as required. Please ensure that the content you provide is true and valid, otherwise it may not pass verification and the retrieval may fail;
2.5.3 In order to protect account security and prevent account theft, malicious sharing, etc., we (may) use one or more methods to verify the identity of registered users from time to time or regularly (such as SMS verification, etc.). If the user fails to successfully pass the verification, we have reasonable grounds to suspect that the account has been stolen or otherwise unsafe, and may unilaterally decide whether to suspend or terminate the continued provision of our products and services to the account and take further measures depending on the seriousness of the situation. You agree that we take the above measures to protect the security of user accounts, and we do not need to bear any responsibility for this.

2.6 You understand and agree that, in accordance with relevant requirements, we may display information such as the Internet Protocol (IP) address of your account on your account personal information page, published information page, etc., with specific display locations, formats, and information types. Other related arrangements shall be subject to relevant laws and regulations and actual display. Due to technical measures, we cannot guarantee that your Internet Protocol (IP) address collected by the system is completely true and accurate, and you are not allowed to tamper with the relevant IP address without authorization, otherwise all risks or legal risks arising from inaccurate information displayed will result. The responsibility lies solely with you.

2.7 Based on the following circumstances, we have the right to suspend or permanently terminate your use of your account or withdraw your Alienoid Account, and interrupt or terminate the continued provision of products and services to you without assuming any responsibility for the resulting consequences to you. Loss (including but not limited to expiration of membership rights, erasure of account information and related data, inability to withdraw earnings, etc.) shall be borne by you if it is:

2.7.1 Based on your voluntary application;
2.7.2 You violate laws, regulations or this Agreement;
2.7.3 According to the laws, regulations and regulatory policies that we must comply with;
2.7.4 Your use causes (or may cause) infringement of our and others' legitimate rights and interests;

2.8 Account Cancellation

We provide you with the Alienoid Account cancellation function. You can cancel your account by logging out online, contacting customer service, etc. For more information about Alienoid Account cancellation rules, please refer cancellation section below.

Service Usage Rules

3.1.1 When using our products and services, you should abide by relevant laws, regulations and other normative documents, abide by public order and good customs, and shall not engage in any activities that are illegal or infringe upon the legitimate rights and interests of others;
3.1.2 Our products and services are limited to your use on our platform or other platforms expressly authorized by us. Any behavior that separates our products and services from our platform or other platforms authorized by us by means of cracking, translating, transcribing, etc. that is illegal or without our explicit permission does not fall within the scope of the use of our products and services as agreed in this agreement. We reserve the right to pursue your legal liabilities and claims;
3.1.3 We grant you a personal, non-exclusive, non-transferable, non-commercial, revocable, time-limited license to use our products and services, that is, you may only use us for your own non-commercial use. products and services;
3.1.4 You may need to download our software when using some of our products and services. You may download and use it only for non-commercial purposes and use of this service. In order to improve user experience and improve service content, we will update the software from time to time. After a new version is released, the old version may not be available or some functions may be limited. It is recommended that you update the software to the latest version.

3.2 You understand and agree that due to broadband and network connection problems, you may experience buffering or lags for a long time or other similar situations when using our products and services. Such situations are not our fault. We have no liability to users. At the same time, in order to improve user experience and reduce buffering or freezing, we can adopt a series of general video acceleration technologies and future innovative technologies . The use of the aforementioned technologies may cause Some additional bandwidth and equipment systems are occupied. If you have any questions about this, you can contact us for technical support.

3.3 The products and services we provide require access to the Internet, so you are responsible for the uplink and downlink network communication and traffic costs incurred during the use of the products and services. The above fees will be charged by the network operator. You can also make relevant settings for network usage information through the relevant settings page of the product or terminal.

3.4 You can consult us and obtain reasonable technical support for using our products and services, but this should not exceed our reasonable tolerance.

3.5 You understand and agree that the film and television variety shows and online games and other content on our platform are determined by us after comprehensive consideration of various factors such as our own operating strategies (including but not limited to the broadcast time and online and offline of promotional and paid content, payment plans, membership transfer or non-member time, content viewing area, etc.), we may make adjustments based on laws, regulations and regulatory requirements, changes in copyright status, our own operating strategies, user needs, public opinion issues, content quality, etc., including but not limited to adjusting the broadcast progress, stop updating, or take some video or games content offline, etc. If the content is offline, you may still be unable to watch it even if you have downloaded or cached it locally; if your membership or additional paid content expires, you will not be able to continue watching it (including if it has been downloaded or cached locally ).

Rules for Using Paid Services:

3.6.1 Our platform provides many services, some of which are paid services, such as Subscriber Membership, streaming content, digital collections, online games, paid on-demand movies, etc. You can use it after paying for it. The specific activation and usage rules of paid services are subject to the instructions on the relevant pages.
3.6.2 The subscription based Subscriber Membership Services we sell provide users with rich membership rights and interests. For details, please refer to the page description on the platform.
3.6.3 Subscriber Membership Services can only be used by those who create an account. Subscriber Membership Service is a network service and virtual service. It adopts the method of charging first and then serving. The membership fee is the price of the network service and virtual service corresponding to the Membership Service you purchased, rather than prepayment or deposit, deposit, savings card, etc. , the Subscriber Membership Service cannot be transferred or refunded once it is activated (if you are completely unable to use the Subscriber Membership Service due to major defects, this agreement has other provisions, laws and regulations require a refund, or we judge that a refund is possible, etc.).
3.6.4 In the process of activating and using Alienoid Subscriber Membership Services, you must abide by the "Alienoid Subscriber Membership Service Agreement" which is in this agreement below, and the rules published on the relevant pages of member rights. If you engage in Alienoid Subscriber Membership through a third-party platform, please read carefully and confirm your agreement with the Membership Service agreement and member rights rules on our platform before using it. You should also abide by the corresponding agreements and rules when using other paid services, otherwise you will not be able to enjoy the corresponding services.
3.6.5 You understand and agree that we have the right to provide our services or functions to different types of users for a fee based on the needs of our own operational strategies. We reserve the right to provide some or all paid services or functions to promotional users for experience and use through direct promotional, limited-time promotional or conditional promotional service.

Alienoid Subscriber Membership Service Agreement

Service Description

[Alienoid Subscriber Member] refers to a natural person who has completed all the procedures to become a member and, on the premise of complying with this Agreement, enjoys the Subscriber Membership Services provided by Alienoid during the membership period. Here we would like to remind you to pay special attention to:

Alienoid Subscriber Members have a variety of membership types for you to choose from, currently including Standard Subscriber Members, Premium Subscriber Members, Premium Plus Subscriber Members and Promotional Subscriber Members.

Alienoid Subscriber Membership and members of other Alienoid products or Alienoid cooperation products belong to different membership products. You activate Alienoid Subscriber Membership and It does not mean that you can obtain membership for other products at the same time. If you need to activate Membership Services for other products, please go to the corresponding product to activate the corresponding membership according to your needs.

[Alienoid Subscriber Membership Service] is an exclusive membership benefit provided by Alienoid to you. Please refer to this Agreement for the description of the rights and interests. The rights and interests not specified in this Agreement refer to Alienoid platform membership offers. The description on the benefit introduction page and the terms of fee and agreement when you engage in purchase of the membership shall prevail. At the same time, Alienoid would like to kindly remind you that there are services in this Agreement that require additional payment, which are in this Agreement.

[Alienoid Subscriber Membership Service Agreement] is an incorporated part o the "Alienoid Service Agreement" and "Alienoid Privacy Policy" and is an inseparable part thereof and has the same legal effect; this agreement is no different from the aforementioned agreement. In the event of a conflict, the terms of this incorporated Agreement shall prevail.

[Alienoid Subscriber Member Service Rules] are agreements, announcements, page descriptions, notices, FAQs and other content related to Subscriber Membership Services that Alienoid has published or will publish from time to time in the future, and have the same legal effect as this agreement.

Use of Services

Service Acquisition

4.1 Alienoid Subscriber Membership Service is a paid subscription service, which you can purchase by paying the corresponding service fee; at the same time, you can also obtain services through marketing activities, accepting gift cards and other channels recognized by Alienoid.

4.2 When obtaining Alienoid Subscriber Membership Services, you should abide by laws, regulations and this agreement, and not infringe the legitimate rights and interests of third parties or Alienoid. You are not allowed to obtain Subscriber Membership Services by yourself (or assist others) through the following methods:

(1) For commercial or other non-personal use purposes;

(2) Use false information, impersonate other people's information, etc. to register an Alienoid Account;

(3) Through any automatic programs, scripts, software, etc., such as robot software, spider software, crawler software, etc.;

(4) Borrowing, renting, selling, sharing or transferring Subscriber Membership Services without Alienoid's permission;

(5) By improper means or in violation of the principle of good faith (such as exploiting loopholes in rules, exploiting system loopholes, abusing membership status, black industry, speculation, etc.);

(6) By exploiting or destroying Alienoid Subscriber Membership Service rules.

(7) Alienoid hereby declares: Any act of selling, renting or transferring Alienoid Subscriber Membership in a similar manner without the express authorization of Alienoid is an infringement, and Alienoid has the right to pursue its legal liability according to law.

Basic Principles for Using the Service

4.2.1 When using Alienoid Subscriber Membership Services, you should abide by laws, regulations and other normative documents, abide by public order, respect social ethics, and must not endanger network security or use the Internet to endanger national security, honor and interests. Inciting to subvert the power of the government, overthrow the the prevailing political system, inciting to split the country and undermine national unity, promote terrorism and extremism, promote ethnic hatred and discrimination, spread violent and obscene information, fabricate and spread false information to disrupt economic and social order , as well as activities that infringe on the reputation, privacy, intellectual property rights and other legitimate rights and interests of others. If you engage in the above behavior, Alienoid has the right to terminate Alienoid Subscriber Membership Services to you.

4.2.2 Unless otherwise agreed by both parties, Alienoid grants you a personal, non-exclusive, non-commercial, revocable, limited-term license to use the Alienoid Subscriber Membership Service, that is, you may only use it for the purpose of Use Subscriber Membership Services for personal, non-commercial purposes.

4.2.3 You understand and agree that you may not provide your account to others for use in any way, including but not limited to transferring, renting, borrowing, sharing, selling, etc., including but not limited to live broadcast, game play, recording, viewing, use it for uploading, participating in events, etc. Otherwise, you will be solely responsible for the legal consequences and responsibilities arising therefrom. At the same time, if the account is lost, leaked, tampered with, stolen, etc. due to the above behaviors, or if the Alienoid security risk control is triggered due to multi-terminal login, remote login, etc., resulting in account anomalies or account blocking, the account shall also be handled by You are solely responsible for this, and Alienoid has the right to decide whether to suspend or terminate services for you based on your breach of contract.

Third-Party Service Content

4.3.1 If the video or game or content playback source displayed in the search results of the Alienoid platform is not from Alienoid, after clicking play, it may jump to the third-party video page to provide you with services. This type of video service is provided and responsible for by a third party, not Alienoid. Alienoid hereby kindly reminds you that third parties will provide services to you and charge service fees (if any) in accordance with its platform rules (including membership rules, if involved).

4.3.2 If you purchase joint Membership Services or obtain third-party Membership Services by purchasing Alienoid Subscriber Membership Services, Alienoid will only provide Alienoid Subscriber services member services and is not responsible for third party member services. The rights, usage, charging rules, etc. of third-party Membership Services will be implemented and interpreted by the third party. You can also go to the third-party platform to check the relevant rules.

Your Account

Obtaining an Account

During the validity period of the Subscriber Membership Service, your Alienoid Account that enjoys Subscriber Membership rights is your Alienoid Subscriber Membership account (i.e., the Alienoid Account bound to your Subscriber Membership Service, hereinafter also referred to as "Subscriber Account" or "Member Account").

At the same time, Alienoid would like to kindly remind you that you should use your member account in compliance with the Alienoid Account usage rules. Alienoid recommends that you consult the page descriptions and standard procedures, FAQs, etc. to obtain more information about account usage rules.

Logging In

Alienoid Subscriber Membership Services require you to log in to your Alienoid Subscriber Membership account before you can use them.

Account Management and Security

4.3.1 You shall be solely responsible for properly and correctly keeping, using, and maintaining your Subscriber Membership account and password, and taking necessary and effective confidentiality measures for your account and password. You shall be solely responsible for any loss, leakage, tampering, theft and other losses caused by improper storage, use and maintenance that are not caused by Alienoid's legal fault.

4.3.2 If you find that someone has used your account without authorization or there are other abnormalities in your account that prevent you from logging in and using it normally, you need to follow the account retrieval process officially announced by Alienoid to retrieve your account. During the retrieval process, Alienoid may ask you to provide corresponding information and/or supporting materials. Please ensure that the content you provide is true and valid, otherwise it may not pass Alienoid's verification and the retrieval may fail.

4.3.3 In order to protect account security and prevent account theft, Alienoid may use one or more methods to verify the identity of account users from time to time or regularly (such as SMS verification, email verification, etc.). If it fails , If the verification is passed, Alienoid has reasonable grounds to suspect that the account has been stolen or other unsafe situations, and will decide whether to suspend the continued provision of Membership Services to the account and/or take further measures depending on the seriousness of the situation.

4.3.4 Please pay special attention to the fact that the actions under your Subscriber Membership account are deemed to be your own actions, and you shall be responsible for the activities that occur under your Subscriber account or through the account.

Usage Restrictions

4.5.1 Alienoid Accounts can be used on different device terminals according to different membership types. Device terminals include but are not limited to internet connected mobile phones, Pads, computers, TVs, VR, car terminals, smart home terminals, etc. as well as the above-mentioned terminals. The corresponding web page (if any) and the device terminal applicable to each specific member shall be subject to the description on the introduction page shown to you.

Unless otherwise specified, in principle:

(1) The maximum number of terminals that can be logged in to the same Subscriber Member Account is 5, of which the sub-device limit is: 2 mobile Apps, 1 Pad App, 1 computer client, 1 web page, and TV 2, 1 for VR terminal, 1 for vehicle terminal, 1 for smart home terminal, the same below;

(2) The number of device terminals that can be played simultaneously with the same Alienoid Account at the same time is as follows:

If you are a Promotional Subscriber Member, the same account can only be played on one device terminal at the same time;

If you are a Standard Subscriber Member or Premium Subscriber Member, you can play on up to 2 devices at the same time with the same account;

If you are a Premium Plus Subscriber Member, the same account can be played on up to 3 device terminals at the same time.

For example: If the same Premium Subscriber Member Account has been used to play and watch movies and games on a TV device and a mobile device at the same time, this Subscriber account cannot be used to play and watch movies and games on a third terminal device at the same time.

(3) If you exceed the above usage restrictions, Alienoid has the right to take measures such as restricting login, restricting use, interrupting or terminating services, etc. based on your exceeding usage.

4.5.2 In order for you to use Alienoid Subscriber Membership Service smoothly, Alienoid hereby recommends that if you exceed the above limit, you should immediately (1) turn off video playback on other device terminals; (2) promptly change the password of your account and start again. Log in.

Account Authorization Login

If the Membership Service you have opened can also enjoy the membership rights of other Alienoid products or Alienoid-cooperated products according to the corresponding member rights description, you need to use the current Alienoid Subscriber Membership account on the corresponding product. Authorized login (for example, if your current account is a Premium Subscriber Member and enjoys TV membership rights, you need to use this Alienoid Subscriber Member Account to authorize login on the client device terminal). The above rights will take effect from the date of opening the Membership Service , so Alienoid kindly reminds you that please remember to log in in time to use it.

Visitor Mode

4.6.1 Since the Apple App Store channel allows non-registered users to purchase Subscriber Membership Services through the Apple Account, the Membership Services will be bound to the device you used to purchase the membership, and the Subscriber Membership Services will only be available on the bound device, and some membership rights will not be available. You may not be able to enjoy it (such as event participation, membership time transfer, etc.) because you use guest mode. If your device is lost, damaged, system upgraded, restored, cleared, or otherwise similar, you will be unable to continue to use the Subscriber Membership rights bound to this device, and you shall be responsible for any resulting losses. For this reason it is of advantage to you not to use it.

4.6.2 Alienoid hereby recommends that you follow the page operation instructions to bind your Alienoid registered account so that you can use membership rights on other devices you own and better enjoy the membership rights provided by Alienoid. .

Membership Rights and Additional Payments

Subscriber Membership Rights

Alienoid Subscriber Membership rights include early viewing of popular content, advertising privileges, frame pictures, games, download acceleration, audio mode, etc. The details are subject to the description of the Subscriber options page on the Alienoid platform or the actual provision of Alienoid. If the name of the membership rights under this agreement is inconsistent with the page description, it will not affect the content of the membership rights you actually enjoy. For the avoidance of doubt, the “preemptive viewing of popular content” here refers to the fact that as a Subscriber Member, you can enjoy the rights to watch some popular content provided by Alienoid in advance before other users.

Special Instructions On the Rights and Interests of Alienoid Subscriber Members:

(1) Please understand that there are various types of Subscriber Members, and the membership rights of different types of Subscriber Members are different; Subscriber Members of the same type are divided into different levels, and the membership rights of different levels may also be different. At the same time, because different types of Subscriber Members are applicable to different equipment and terminals, the membership rights that each membership type can enjoy can only be used on the equipment and terminals that the Subscriber Membership type is applicable to, and cannot be used across terminals. For example: if you have opened a Standard Subscriber Membership, Then all the membership rights you enjoy can be used on the computer/mobile phone/Pad side, but not on the TV side and screencasting. The specific equipment and terminals applicable to the type of membership you have opened and the specific membership rights that can be enjoyed are subject to the instructions on the introduction page shown to you by Alienoid or what Alienoid actually provides;

(2) Alienoid has the right to adjust some or all of Alienoid Subscriber Membership rights and/or service content (including but not limited to changes, additions) based on changes in laws, regulations and regulatory policies, adjustments to operating strategies, user needs and other factors. , reduce or optimize some membership rights and/or service types, membership packages and subscription service charging standards, member names and/or rights details, etc., add or change additional paid content and/or rules, adjust and optimize some product functions, etc. ), Alienoid will notify you of the aforementioned adjustments on the service page or in other reasonable ways. Please check them promptly and read them carefully. At the same time, Alienoid will also try to minimize the impact of the aforementioned adjustments on your existing membership rights;

(3) The scheduling time and plan of the video and other content are determined by Alienoid after comprehensive consideration of its own operating strategies and other factors. Please refer to the video page for details. In particular, the broadcast time, payment plan, promotion time for membership transfer or promotion time for non-members of some paid content are also determined by Alienoid based on the requirements of the copyright owner/its own operating strategies, etc. Alienoid may make some adjustments to the video or games content schedule in member rights based on changes in laws, regulations and regulatory policies, changes in copyright status, its own operating strategies, and user needs, including but not limited to adjusting the video broadcast schedule and stopping some videos or games.
